Outcome of Board Meeting held on 1st February 2010
The Board has proposed to change the object clauses of the Memorandum of
Association of the Company as under :-
1. Shifting of Present Main Object to Other Objects and Insertion of Three new clauses bearing No. 1, 2 & 3 in Part III A of the Main Objects of Memorandum of Association of the Company.
2. To Commence new line of businesses stated in Clause 1,2 & 3 of Main Objects after
obtaining Certificate of Registration under Section 18 and in accordance with the provisions of section 149(2A) of The Companies Act, 1956.
3. In order to make both the resolutions effective under the law, the Company proposes to conduct passing of these Special Resolutions through Postal Ballot pursuant to Section 192A of the Companies Act, 1956 read with Companies (Passing of Resolution by Postal Ballot) Rules, 2001.
